By installing, accessing, or using the Swivel application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. Swivel is operated by Kugie (kugie.app), a Jakarta-based digital solutions company.

2. Description of Service

Swivel is a B2B loyalty and customer engagement platform designed for e-commerce merchants. The Service provides:

• Order importing from multiple marketplaces (Tokopedia, Shopee, TikTok Shop, Blibli)
• Customer claiming system to convert anonymous marketplace buyers into known customers
• Loyalty program management including points, rewards, and tiers
• Customer analytics and segmentation tools
• Shopify store integration
• Product catalog management for reward redemption

3. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring that your use of the Service complies with all applicable laws and regulations
• Providing accurate and complete information when creating your account
• Notifying us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Upload or transmit malicious code, viruses, or any harmful content
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send unsolicited communications (spam) to customers
• Resell, sublicense, or redistribute the Service without our written consent
• Misuse customer data collected through the platform in violation of applicable privacy laws

5. Subscription and Payment

Swivel offers tiered subscription plans billed monthly through the Shopify billing system. By subscribing, you authorize us to charge the applicable fees. Prices are subject to change with 30 days notice. All fees are non-refundable except as required by applicable law.

6. Intellectual Property

The Service, including its design, features, code, and content, is owned by Kugie and protected by intellectual property laws. You retain ownership of your data. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

7. Limitation of Liability

To the maximum extent permitted by law, Swivel and Kugie shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination

Either party may terminate these Terms at any time. You may terminate by uninstalling the Swivel app from your Shopify store. We may terminate or suspend your access if you violate these Terms or for any other reason with 30 days notice. Upon termination, your right to use the Service ceases, and your data will be handled according to our Privacy Policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from these Terms shall be resolved through the courts of Jakarta, Indonesia.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
